Wireel.io Terms and Conditions

Acceptance of Terms. Wireel.io is an online platform connecting brands and social media influencers to run marketing campaigns (e.g. placing brand logos on reels or using a brand's music in a reel). By using our Services, both brands and influencers agree to these Terms and any posted updates. These Terms govern all access to and use of Wireel's websites, applications, and features. Your continued use constitutes acceptance of the Terms and any future modifications. For example, like other influencer platforms, we may evolve or change features at any time without notice.

Definitions. In these Terms:

Brand: a company, organization or individual that uses Wireel's platform to promote products or services. A Brand may include its representatives (e.g. marketing managers).

Influencer: an individual who creates social-media content (such as Instagram, TikTok or YouTube posts or reels) and participates in marketing campaigns via Wireel.

Content: any text, images, audio, video (e.g. reels), music, or other materials that a user posts or shares on the Wireel platform.

Account Registration. Both Brands and Influencers must register an account to use Wireel. You must be at least 18 years old (or have a parent/guardian's consent if younger). During registration you agree to provide accurate and current information and to update it as needed. You may not create more than one account or impersonate others. Each user is responsible for maintaining the confidentiality of login credentials and for all activities under their account. We reserve the right to suspend or terminate any account that uses false information or violates these Terms.

Services Provided. Wireel offers various influencer marketing services, including:

Sticker-on-Reel Campaigns: We enable brands to run campaigns where a brand logo or sticker is incorporated into an influencer's social-media reel or video.

Music Use Campaigns: We allow brands to have influencers use the brand's owned music track in their reels.

Campaign Management & Payments: Wireel facilitates the agreement between Brands and Influencers and may handle payment transactions. Brands set the campaign terms and compensation. Influencers are paid either in money, product or other agreed remuneration. Wireel may charge Brands a platform fee for each transaction (similar to other platforms that receive fees from Brands) and will deduct taxes or fees as required by law.

Analytics and Reporting: After campaigns run, we provide brands with usage metrics and performance reports (views, engagements, etc.) as part of our service. We may also aggregate campaign data for internal analytics and to improve our platform.

These services are provided "AS IS" without guarantee of specific results. Wireel does not promise any minimum performance or engagement levels. Brands and Influencers remain responsible for the actual content and performance of each campaign.

Payments and Fees. All payments between Brands and Influencers may be processed through Wireel's payment system. Brands agree to pay the full agreed compensation for a campaign; any service fee, tax, or transaction fee will be clearly stated. Payment deadlines (e.g. upfront deposit, milestone payments) follow the campaign agreement. Unless otherwise stated, fees paid to Wireel are non-refundable. We may also charge fees for late payments or currency conversion. Wireel will hold funds securely and disburse payments to Influencers upon completion of agreed tasks. Wireel's collection of a platform fee does not create any additional obligations or warranties beyond facilitating the transaction.

Content Ownership and License. Influencers who create content (videos, reels, music tracks, edits) for campaigns retain ownership of their original work under copyright law. However, to enable brand use and platform promotion, Influencers grant licenses as follows:

License to Wireel: By posting Content on or through our platform as part of a campaign, Influencers grant Wireel a worldwide, royalty-free, perpetual, non-exclusive license to use that Content. Wireel may use, reproduce, adapt, distribute, display or perform such Content solely to operate, market, and improve our Services (for example, for internal analytics, creating campaign reports, or promoting Wireel). This is similar to other platforms' content licenses. Importantly, Wireel does not claim ownership of the content: Influencers retain all copyrights and can continue using their Content freely.

License to Brands: By agreeing to a campaign, an Influencer also grants the Brand a usage license for the Content as specified in the campaign terms. For example, a Brand may receive the right to repost the influencer's reel on its own social media channels or use it in advertising, for the duration agreed. The exact scope (platforms, duration, edits allowed) is set by the campaign agreement.

Because Wireel claims rights to use campaign content for internal purposes, Influencers must not delete campaign posts without Wireel's or the Brand's permission. Wireel may remove or archive Content if a campaign is canceled or after its term ends, but Influencers otherwise own their posted works. Users must ensure they have all necessary rights (e.g. music licenses, logo permissions) before submitting Content.

User Obligations and Conduct. Both Brands and Influencers agree to use Wireel lawfully and in good faith. This includes: compliance with all applicable laws (such as advertising and intellectual property laws), Wireel's usage guidelines, and any campaign-specific rules. Influencers must clearly disclose sponsorships and use hashtags or notices (per FTC guidelines) when posting branded content. Neither party may post hateful, defamatory, pornographic, illegal, or infringing Content. Wireel reserves the right to remove or refuse any Profile or Content that violates the Terms or is otherwise objectionable.

Brands must provide accurate campaign details and not request unlawful actions (e.g. falsifying information). Brands should deliver any materials (logos, music) in formats agreed. Wireel is not responsible for verifying the legality of campaign materials or the credibility of participants. Each User is solely responsible for their own Content and actions.

Disclaimers and Limitation of Liability. Wireel's platform functions purely as an intermediary connecting Brands and Influencers. We do not endorse or guarantee any specific influencer, brand, or campaign result. We do not pre-screen, edit, or control user-generated Content. The Shelf's TOS similarly notes that all user-posted content is the user's responsibility. Any trust, promises or performance of products/services arise solely between the Brand and Influencer.

Wireel expressly disclaims any warranties for our Services – we provide them "AS IS" without warranty of any kind. To the extent permitted by law, Wireel is not liable for any indirect, incidental, or consequential damages arising from campaigns or platform use. For example, if an Influencer's post causes any loss (e.g. violating someone's rights), Wireel has no liability; the Influencer and Brand must resolve such disputes. In all cases, Wireel's total liability (if any) will be limited to the fees paid to us, and users waive any claims beyond those bounds.

Termination. Wireel may suspend or terminate any user account or content at our discretion, with or without notice, if a user violates the Terms or for any business reason. For example, if illegal activity or harassment is reported, we can immediately disable the offender's access. Upon termination, users lose access to the Services; however, Wireel has no obligation to return Content or data. Users may also cancel their account at any time. Termination will not affect accrued rights or obligations (e.g. completing payment for an already completed campaign).

Amendments. Wireel may update or revise these Terms by posting the changes on our website. Substantial changes (e.g. new user rights) will take effect 30 days after posting. Your continued use of Wireel after changes are posted constitutes acceptance of the new Terms.

Governing Law. These Terms are governed by applicable laws of India (where Wireel is based) or another jurisdiction as required. Users agree to submit to personal jurisdiction in that legal venue for any disputes.

Above all, remember that Wireel does not intervene in or control influencer-brand contracts. Each Brand and Influencer is responsible for vetting and fulfilling their own commitments. These Terms simply set the ground rules for using the Wireel platform to launch sticker-on-reel or music-usage campaigns. By using Wireel, you acknowledge and agree to follow these terms and to resolve any disputes directly with the other party.
